Partner Program Terms

These terms (version 2026-09-a) govern participation in the Sela partner program (the "Program"). By applying to the Program, accepting an approval, or sharing a Sela referral link, you ("Partner", "you") agree to these terms, to the Sela Terms of Service and to the Privacy Policy. If you participate on behalf of a company, you confirm you are authorised to bind it. If you do not agree, do not participate.

1. Definitions

"Sela", "we", "us": the operator of usesela.com and the Sela platform.

"Referral Link" and "Referral Code": the unique link and code we issue to an approved Partner.

"Referred Customer": a new organisation (workspace) that is created on Sela within 90 days after a visitor opened your Referral Link, and that is bound to you in our systems under Section 4.

"Eligible Revenue": amounts actually received by Sela from a Referred Customer for its platform subscription, recurring AI credit allowance and recurring software add-ons (seats, storage packs, automation packs), after discounts, refunds and chargebacks, and excluding taxes.

"Excluded Revenue": one-time AI wallet top-ups, provider or Meta pass-through charges, setup, migration, Care and other human services, custom development, deposits, unpaid invoices, free trials and promotional credits.

"Earning Window": the 12 consecutive service months starting with the Referred Customer's first paid service period.

2. Eligibility and approval

The Program is approval-only. We may accept or decline any application at our sole discretion and without giving reasons. Approval is personal to the applicant and may not be transferred, sold or sub-licensed.

You must be at least 18 years old, able to enter a binding contract, and able to receive payouts through a lawful payout route that we support. Before approval or payout we may ask you to verify your identity, business details and payout account, and to provide tax information where required.

There is no fee to join. We never require a purchase to participate.

Current Sela customers, their employees and their agencies may participate, but may not earn commission on their own organisation or on any organisation they control, manage, or in which they hold an interest (see Section 6).

3. Commission

We pay 20% of Eligible Revenue for each Referred Customer during its Earning Window. Nothing is paid on Excluded Revenue, on months outside the Earning Window, or on any Referred Customer whose first paid period begins more than 90 days after it was bound to you.

Commission is calculated from verified successful payment records only. Signups, trials, checkout redirects, pending invoices and promises to pay do not earn commission.

Upgrades and additional eligible recurring usage during the Earning Window increase commission; downgrades reduce it. Cancellation, suspension, resubscription, renaming, changing payment method or recreating the same business does not restart or extend the Earning Window.

Annual or other prepaid subscriptions are allocated evenly across the service months they cover, and commission accrues and is released month by month, not on the date the lump sum was received.

We may change the commission rate, the Earning Window or the eligible product list for future Referred Customers with at least 30 days' notice on this page. Changes do not reduce commission already earned on existing Referred Customers under the version in force when they were bound. Each attribution and ledger entry records the version that applies to it.

4. Attribution

When a visitor opens your Referral Link we store a first-party cookie for 90 days. If that visitor creates a new Sela organisation while the cookie is valid, the organisation is bound to the last valid Referral Link it opened before signup. Binding happens once, on our servers, at the moment the organisation is created, and is not overwritten by later links, coupons or logins.

One organisation has one commission owner. An existing paid Sela organisation does not become a Referred Customer by creating another workspace, a new account or a renamed business. Where two Partners claim the same organisation, our records decide.

You acknowledge that attribution depends on the visitor's browser and device. Cross-device signups, cleared cookies, private browsing, blockers, or a signup that happens outside the attribution window are not attributed. If you believe a genuine referral was missed because of a technical failure, you may ask us in writing within 30 days of the signup; we may, but are not obliged to, add the attribution manually after the customer confirms it.

Attribution and commission data in our systems is the sole record. We will provide you a monthly statement, and you may query it, but Sela's ledger is final except for manifest error.

5. Holds, payouts and reversals

Each commission entry is held for 60 days after the service month it relates to has been paid. After the hold it becomes payable. We pay payable balances monthly, provided the balance is at least $25. Smaller balances carry forward. Balances are denominated in US dollars; the payout currency, conversion method and any unavoidable transfer cost will be agreed with you before your first payout, and we are not responsible for fees charged by your bank or payout provider.

If a Referred Customer's payment is refunded, reversed, charged back or otherwise not retained, the related commission is reversed. If it was already paid, the reversed amount is deducted from your next payout or, at our option, invoiced to you. Ordinary customer churn stops future earnings but does not remove commission legitimately earned on paid, unrefunded prior service.

We may extend a hold or withhold a payout while we investigate suspected breach of these terms, suspicious traffic, disputed payments or a legal request. We will tell you that a hold is in place and, where the law allows, why. Section 9 governs the outcome of an investigation.

Commission that remains unclaimed because you failed to provide or maintain a valid payout route for 12 months may be forfeited after we have made reasonable attempts to contact you.

You are responsible for all taxes, levies and reporting obligations on amounts we pay you. Where the law requires us to withhold, we will withhold and the amount withheld counts as paid.

6. Prohibited conduct

The following are breaches of these terms. Any commission arising from them is void, whether or not already paid, and may lead to immediate termination:

Self-referral: earning commission on yourself, your own business, a business you own, control or manage, your employees, or any organisation you created or induced someone to create in order to earn commission.

Fake or non-genuine customers: creating, buying or inflating accounts, using stolen or fabricated identities or payment details, or paying for or subsidising a customer's subscription to trigger commission.

Cookie stuffing, forced clicks, iframes, redirects, pop-unders, typosquatting, link cloaking that hides the destination, or any technique that sets attribution without the visitor knowingly opening your link.

Spam: unsolicited email, SMS, WhatsApp or social messages, comment spam, scraped lists, or messaging that breaches Meta, WhatsApp, Telegram or any platform's rules or applicable anti-spam law.

Brand bidding: bidding on or using "Sela", "usesela", "صلة" or confusingly similar terms as keywords, in ad copy, in domain names, in social handles, or in any way that suggests you are Sela or an official Sela channel. Impersonating Sela, its staff or its customers.

Misleading promotion: false or unsupported claims about Sela's features, AI accuracy, provider or Meta approvals, prices, discounts or coupons we have not published; guarantees of income, results or outcomes; hiding material conditions; or promoting Sela on sites containing illegal, hateful, adult, defamatory or infringing content.

Rebates and inducements: offering customers cash, credits or kickbacks funded from your commission, unless we have approved the offer in writing.

Interference: probing, scraping, load-testing, reverse-engineering or attacking Sela systems; abusing the referral, booking or application endpoints; bypassing rate limits; or accessing another Partner's or customer's data.

Circumvention: creating multiple Partner accounts, sharing accounts, or continuing to promote after suspension or termination.

7. Permitted promotion and disclosure

You may promote Sela through your own website, blog, videos, social profiles, newsletters, courses, client work and direct conversations, provided you comply with Section 6 and with applicable advertising, consumer, privacy and anti-spam law.

You must clearly disclose that you receive a commission from Sela for referrals, in a way that is visible before the visitor clicks. This applies to every channel, including social media and messaging.

You may use the name and logo we provide, only as provided and only to promote Sela. You may not alter our marks, register them, use them in your own product or business name, or imply endorsement, partnership or exclusivity beyond what these terms create. All rights in Sela's marks, content and software remain with Sela.

You are an independent contractor. Nothing in the Program creates an employment, agency, joint-venture, franchise or fiduciary relationship. You may not make offers, promises, warranties or representations on Sela's behalf, and you may not accept payments from customers for Sela services.

8. Agencies and implementation partners

If you also provide setup, integration, training or managed services to a Referred Customer, you contract for and invoice that work yourself. Referral commission does not pay for it, and Sela is not responsible for it. Sela remains responsible only for its own product and its own published support.

Customer ownership must stay clear: the Referred Customer owns its workspace, data, billing and user roles. You may act inside a customer's workspace only with the customer's authorisation and only within the roles it grants you.

We do not pay both a reseller discount and a referral commission on the same charge unless a separate written agreement says so.

9. Investigation, suspension and termination

Either party may end participation at any time on written notice. Termination by you does not cancel commission already earned on paid, unrefunded service; we will settle valid balances under Section 5.

We may suspend your Referral Link and hold payouts immediately if we reasonably suspect a breach of Section 6, fraud, chargeback abuse, a legal or platform complaint, or a risk to Sela, its customers or their end users. A suspension is not a finding of breach.

Where we conclude, on documented evidence, that a breach of Section 6 or fraud has occurred, all related commission is forfeited, paid amounts become repayable on demand, we may terminate immediately, and we may recover our reasonable investigation and recovery costs. You may appeal in writing within 14 days with evidence; we will review the appeal in good faith and reply in writing.

Closing the Program to new enrolment does not cancel existing Earning Windows for Referred Customers bound before the closure. If the Program is discontinued entirely, we will settle valid earned balances under Section 5 and these terms will then end.

Sections 5 (as to reversals and repayment), 6, 7 (as to marks), 10, 11, 12 and 13 survive termination.

10. Data protection and confidentiality

You will receive only the data you need to operate as a Partner: your own statements and aggregate figures. You will not receive customer conversations, contact lists or other tenant data, and you must not attempt to obtain them.

Information about Sela's roadmap, pricing plans not yet public, systems, security or business that you learn through the Program is confidential. Do not disclose it or use it for any purpose other than the Program.

You must process any personal data you collect in promoting Sela lawfully, with a proper legal basis, and in line with the Sela Privacy Policy where it applies. You must not upload personal data to Sela on a customer's behalf without that customer's authority.

11. Warranties and liability

The Program, our tracking and our statements are provided "as is". We do not guarantee that every referral will be tracked, that any level of earnings will be achieved, or that the Program will continue.

To the fullest extent permitted by law, Sela's total liability to you arising out of or relating to the Program in any 12-month period is limited to the commission properly payable to you in that period. Sela is not liable for indirect, consequential, special or punitive loss, loss of profit, business or goodwill, or for any failure of a third-party payout provider, browser, platform or network.

Nothing in these terms excludes liability that cannot be excluded by applicable law.

12. Indemnity

You will indemnify and hold harmless Sela, its founders, staff and contractors against all claims, losses, fines, costs and expenses (including reasonable legal fees) arising from your promotion of Sela, your breach of these terms or of applicable law, any content you publish, any representation you make about Sela, or any dispute between you and a person you referred or contracted with.

13. Governing law and disputes

These terms are governed by the laws of the Republic of Iraq, without regard to conflict-of-law rules. Before starting any formal proceeding, the parties will try in good faith to resolve the dispute by written correspondence for at least 30 days. Subject to that, the courts of Baghdad, Iraq have exclusive jurisdiction, except that Sela may seek injunctive relief in any competent court to protect its marks, systems or customers.

If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. These terms, the Sela Terms of Service and the Privacy Policy are the entire agreement about the Program and replace any earlier discussion or offer. In case of conflict about the Program, these terms prevail.

The Arabic and English versions are intended to have the same meaning. If they differ, the English version governs the interpretation of the commercial terms in Sections 3 to 5, and the Arabic version governs where Iraqi law requires it.
